Has National Vision’s Management Been Accused of Misconduct?

National Vision Holdings, and certain of its senior officers and directors, have been subject to a class action lawsuit, filed in the United States District Court for the Northen District of Georgia in early 2023.

National Vision and its control persons were accused in that class action lawsuit of, among others, violating securities laws by allegedly making materially false and/or misleading statements and failing to disclose materially adverse facts that allegedly caused National Vision’s stock to trade at artificially inflated prices.

According to the complaint, National Vision allegedly failed to disclose that in order to assist its efforts to recruit and retain healthcare staff to keep up with customer demand, National Vision allegedly implemented a “significant multi-million dollar investment” in wage and compensation payments. Despite being aware of the impact on company’s earnings, National Vision allegedly deliberately concealed the scope of the investment, the complaint adds. Furthermore, National Vision’s recruitment and retention efforts reportedly ultimately failed, materially impacting National Vision’s financial and operational results, according to the complaint.

What Happened to EYE Stock Price?

EYE shareholders first learned of National Vision’s investments in wage and compensation payments, and their impact on company’s profitability, during an earnings call with analysts and investors to discuss National Vision’s third quarter 2021 results, the class action complaint alleges. Following the news, the EYE stock price reportedly declined 13% on an abnormally heavy volume, the complaint adds.

On May 10, 2022, National Vision reportedly issued its financial results for the first fiscal quarter of 2022, announcing decreased revenues, lower net income, and diluted estimated price per share. In addition, the company slashed its 2022 outlook, attributing the disappointing results to, among others, “emerging constraints to exam capacity,” the complaint alleges. On the same day, the price per share reportedly fell to $24.93, and according to data by Yahoo Finance, as of the date of this blog the price per EYE share was $16.53.
