Palantir Faces Wave of Class Action Lawsuits Over Investor Losses
On September 15, 2022, Palantir Technologies, Alexander C. Karp, Palantir’s Chief Executive Officer, David Glazer, Palantir’ Chief Financial Officer, and Shyam Sankar, Palantir’s Chief Operating Officer were named defendants in a class action complaint alleging violations of securities laws.
A few weeks later, two more class actions were filed against Palantir and an expanded list of defendants including Palantir’s co-founders Stephen Cohen and Peter Thiel, in addition to William Ho, Kevin Kawasaki, Alexander Moore, Spencer Rascoff, and Alexandra Schiff.
All three class action lawsuits mentioned above alleged, among others false and misleading statements in connection with Palantir’s business, operations, and prospects. According to the complaints, unbeknownst to the public and despite ongoing global conflicts and market disruptions, Palantir was experiencing a slow down in revenue growth among government customers.
It is further alleged that the sustainability of revenues from government contracts was misrepresented and that Palantir failed to disclose it was likely to miss estimates for first and second quarter of 2022.
In addition, the class actions alleged that Palantir failed to disclose the risks associated with Palantir’s investments in equity securities in publicly-traded companies, also known as marketable securities, and the negative impact of these securities on the Company’s earnings per share (“EPS”) results.
According to the class action complaints, Palantir disclosed its alleged shortcomings on May 9, 2022, when it issued its financial results for the first quarter. In a press release, Palantir reportedly announced lower expected sales for the second quarter, significant slowdown in revenue growth and lower than estimated EPS “driven primarily by unrealized losses on marketable securities.”
The news was reportedly followed by a significant decline in price per PLTR share.
